These Terms & Conditions govern all export transactions conducted by Devansh India Impex, Varanasi, Uttar Pradesh, India. By placing an order or entering into a contract with us, the buyer agrees to the following terms.
1. Scope of Business
Devansh India Impex operates exclusively as an exporter of agro products and handicrafts. All sales are made for international trade only, and no domestic retail or local sales are covered under these terms.
2. Order Acceptance
- All export orders are subject to written confirmation by Devansh India Impex.
- A Proforma Invoice (PI) issued by us shall constitute the official offer.
- Orders are deemed confirmed only upon receipt of agreed advance payment or fulfillment of mutually agreed payment terms.
3. Pricing
- Prices are quoted in the agreed foreign currency unless otherwise specified.
- Prices are exclusive of import duties, local taxes, customs charges, port fees, and destination country levies, which shall be borne by the buyer.
- Prices are valid only for the period mentioned in the Proforma Invoice.
4. Payment Terms
- Payment shall be made through internationally accepted modes such as Advance TT, LC at Sight or other agreed methods.
- Banking charges in the buyer’s country shall be borne by the buyer.
- Failure to comply with payment terms may result in shipment delay, cancellation, or legal action.
5. Quality, Quantity & Specifications
- Products shall conform to specifications mentioned in the Proforma Invoice or sales contract.
- Minor variations in color, size, weight, texture, or appearance are acceptable, especially for handcrafted and agricultural products.
- Quality and quantity once shipped and documented shall be considered final unless otherwise agreed.
6. Inspection
- Pre-shipment inspection, if required, must be requested by the buyer and conducted at the buyer’s cost.
- In the absence of inspection requirements, goods dispatched shall be deemed accepted by the buyer.
7. Packing & Labeling
- Packing shall be done as per export standards suitable for international transit.
- Any special packing or labeling requirements must be communicated in advance and may incur additional charges.
8. Shipment & Delivery
- Shipment terms shall be governed by the latest Incoterms® (ICC) as agreed in the sales contract.
- Delivery timelines are indicative and subject to availability of vessels, customs clearance, and force majeure events.
- Risk and title of goods shall pass to the buyer as per the agreed Incoterm.
9. Force Majeure
Devansh India Impex shall not be liable for delays or failure in performance due to events beyond reasonable control, including but not limited to natural disasters, government regulations, strikes, port congestion, pandemics, or war.
10. Claims & Complaints
- Any claims relating to quality, quantity, or documentation must be submitted in writing within 7 days of receipt of goods at the destination port.
- Claims submitted after this period shall not be entertained.
11. Returns & Cancellations
- Export orders, once confirmed, are non-cancellable and non-returnable, unless expressly agreed in writing.
- Perishable, customized, or made-to-order goods are strictly non-returnable.
12. Intellectual Property
All trademarks, product designs, images, catalogs, and documents remain the intellectual property of Devansh India Impex and may not be used without written consent.
13. Limitation of Liability
Our liability, if any, shall be limited strictly to the value of the goods supplied. Under no circumstances shall Devansh India Impex be liable for indirect, incidental, or consequential losses.
14. Governing Law & Jurisdiction
All export contracts shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts located in Uttar Pradesh, India.
15. Amendments
Devansh India Impex reserves the right to amend these Terms & Conditions without prior notice. Updated terms shall apply to all future transactions.
